    Year-end Report 2003 Boss Media AB (publ)

    Net sales amounted to SEK 132.4 (114.1) million. Net sales for the fourth quarter amounted to SEK 32.5 (28.2) million.

    Profit after financial items was SEK 50.2 (-4.8) million. Profit after financial items for the fourth quarter was SEK 27.9 (0.1) million. One-time entries have affected the profit for the year by approximately SEK 20 million.

    Net profit was SEK 35.8 (-3.9) million. Net profit for the fourth quarter was SEK 20.0 (-0.1) million.
    Earnings per share were SEK 0.65 (-0.07).

    The strong performance of the company during 2003 is expected to continue in 2004.

    Boss Media sells Gold Club Casino

    In order to concentrate on it's core business Boss Media has earlier announced that it has decided to sell it's business to consumer division. The web portal Casino.com was sold during autumn 2003 and now Boss Media can announce that also the Internet casino Gold Club Casino has been sold. Boss Media has also negotiated a set of agreements whereby Boss Media will provide gaming software and related services to the buyer. The buyer of Gold Club Casino has asked to remain anonymous.

    "We have now completed what we set out to do during 2003, to sell our gaming operations in order to fully focus on our core business of developing software for the gaming industry. In addition, by selling Gold Club Casino, we have established a business relation with a gaming operator which has substantial future plans", says Peter Bertilsson, CEO of Boss Media.

    Boss Media delivers Internet casino system to Bowman International

    On October 15, 2003, Boss Media announced that it had sold a casino system to a well-established betting company. For competitive reasons, the customer requested to remain anonymous at that time. Boss Media can now announce that an Internet casino system has recently been delivered to Bowman International - a company that started in 1985 as a telephone betting service.

    Software from Boss Media has replaced Bowman's earlier casino software on www.bowmans.com. The new Internet casino, which is available as a downloadable application or a browser-based application, has been integrated with Bowman's own existing payment system. This integration
    allow Bowman's customers to continue to use their existing wagering accounts to participate in the new casino games. This type of integration has proven to be a winning concept.

    Canbet Sports Bookmakers UK acquires Queen's Club Casino from Boss Media

    British betting company, Canbet Sports Bookmakers UK Ltd. (www.canbet.com), has agreed to purchase Queen's Club Casino (www.queensclub.com) from Boss Media. Canbet Sports Bookmakers holds a bookmaking license in Great Britain and is a wholly owned subsidiary of Canbet Limited, a publicly traded company listed on the Australian Stock Exchange.

    The digital casino will be delivered both as a downloadable software application and as a browser-based application. The deal also includes Poker and Bingo software. The Poker application will connect Canbet's customers to the Boss Poker Network, while the Bingo application will link Canbet's customers to the Boss Bingo Network. Boss Media's gaming system will fully integrate with Canbet's system, consequently all game clients can make use of Canbet's proprietary payment solution.

    "Canbet is a well-established company with an extensive customer base and they will now use this asset to broaden their business via our suite of gaming verticals - in this deal Casino, Poker and Bingo", says Robert Skogh, marketing and sales director at Boss Media.

    The shareholders of Boss Media AB (publ), 556400-0353, are hereby invited to attend the Annual General Meeting at 4 p.m. on Thursday, May 6, 2004 at Filmstaden located at Oxtorget 10, Växjö, Sweden. Registration will commence at 15.30 p.m.

    The Annual General Meeting will be held in Swedish. A report from the Annual General Meeting will be sent out in English and Swedish, stating the decisions of the Annual General Meeting.

    Right to participate

    Shareholders who would like to attend the Annual General Meeting shall:

    - be registered as owners in the record of the Shareholders' Register held by VPC AB (Swedish Securities Register Centre) by Monday, April 26, 2004 (see below under

    Nominee registered shares

Shareholder wishing such registration has to inform the nominee well before Monday, April 26, 2004, at what time such registration has to be effected in order to be considered in the Shareholders' Register held by VPC AB by April 26, 2004.

    Shareholder's rights at the Annual General Meeting can be exercised by proxy. The power of attorney shall be in writing and not older than one year. It shall be dated and undersigned.     Proposal by the Nomination Committee

    In the light of the decision made on the Annual General Meeting 2003 a Nomination Committee was formed consisting of the Chairman of the Board of Directors, Björn Nordstrand, Sten Thunberg, elected on proposal by Sveriges Aktiesparares Riksförbund and Jan Westholm, elected by the company's largest owner, Medströms AB. The purpose of the Nomination Committee is to prepare the election of the Board of Directors, propose remuneration to the Board of Directors as well as similar issues. The Nomination Committee proposes the following:

    Item 10; Number of Board Members
    It is proposed that, until the next Annual General Meeting, the number of Board Members consists of five (5) members and no deputies.

    Item 11; Determination of the remuneration to the Board of Directors and the Auditors
    It is proposed that the remuneration to the Board of Directors amounts to SEK 700,000 (last year SEK 450,000) to be distributed by the Board of Directors among those of its members that are not employed in the company. It is proposed that the remuneration to the Auditors be paid in accordance with current fees to auditors.

    Item 12; Election of Board Members and, where appropriate, Deputies
    The re-election of Björn Nordstrand, Per Thunander, Jan Westholm, Thore Olsson and Peter Levin is proposed.

    Proposal by shareholders

    Shareholders representing approximately 14 % of the shares and the votes in the company have reported to the company that they intend to vote in favor of the proposals of the Nomination Committee above. In addition the aforementioned shareholders have reported that they propose the following composition of the Nomination Committee and the Audit Committee respectively:

    The Audit Committee has during the past year consisted of Björn Nordstrand and Jan Westholm. Re-election of the Audit Committee is proposed.

    Svenska Spel chooses Boss Media as supplier again

    Boss Media has been contracted by Svenska Spel to develop more gaming products for its Internet gaming center. In autumn 2003, Svenska Spel launched the popular scratch card games knowned in Sweden as Triss, Tia, Skrap-Bingo and Skrap-Pyramid, along with three new bingo games. The scratch card games Dubbel-Triss, Tia med Stjärnvinst, Skrap-Labyrinten and a gaming engine that creates options for completely new types of game will now also be added to the range available at www.svenskaspel.se. Anyone who holds a gaming card issued by Svenska Spel is allowed to play. The gaming card is free and all Swedish citizens over the age of 18 with a permanent address in Sweden can apply for one.

    With the new contract, Boss Media will be increasing its range of lottery games for its modular gaming platform. All the games are developed in Flash, which means that players can play directly online without having to download any software. The new games are being developed in close cooperation with Svenska Spel.

    Boss Media's gaming platform has an open and modular architecture which means it can easily be adapted to customers' requirements, new games can be added and the platform can be integrated into the customer's existing system. The games have been developed to comply with the security standards set by the World Lottery Association (www.world-lotteries.org).

    Boss Media and Svenska Spel have worked together for several years on various projects in the area of digital gaming. Interest for digital games has increased dramatically, and the two companies have now decided to leverage the extensive experience that they have acquired. This combination, in which Boss Media has been responsible for technical and platform development and Svenska Spel has developed game concepts and handled daily operations, has proven to be very successful. With the partnership agreement, the two companies will now take advantage of the unique platform that the partnership has created.

    Svenska Spel and Boss Media bring Trisslotten into the mobile arena

    Trisslotten, Sweden's biggest gambling product, is entering the mobile age. Starting with Trisslotten, Svenska Spel and Boss Media will now be offering mobile gambling to the Swedish market. Bettors will be able to use the same account from their home computer and mobile telephone. The new gambling channel will strengthen the relationship between the gambler and his gaming card.

    Norsk Tipping's new generation Interactive Video Lottery Terminals from EssNet Interactive now in live operation

    Today, Norsk Tipping's new, state-of-the-art on-line Interactive Video Lottery Terminal (IVT) system started commercial operation with the first EssNet Interactive terminals installed in Oslo. An extensive rollout program of the 10,000 terminals ordered has now commenced, where the majority of the installations will be made next year. The project is planned to be finalised by August 2006. The system is based on PC technology with real-time monitoring, linked jackpots and fast down-loads of new games.

    In Norway, the awareness of social responsibility towards the players is very high. Norsk Tipping, the national lottery in Norway who has the exclusive right to operate Interactive Video Lottery terminals, is now introducing a system with the means and measures to help players play responsibly. The system delivered by EssNet Interactive can, among other unique features, identify players, track spending and set usage and spending limits. The new terminals will be installed in restaurants, kiosks, bingo halls and other places where the 18-year age limit can be controlled.

    The network of more than 10,000 IVTs, including 2,500 store-owners' terminals for local monitoring of the IVTs, will be connected to a central system at Norsk Tipping's head office in Hamar. Since the games are operated and managed centrally, the system offers outstanding control and the possibility to configure and exchange the games from the central.

    Boss Media Outsources Part of Gaming Platform Software Development and Maintenance to Accenture

    Boss Media, one of the world's leading suppliers of systems for digitally distributed gaming entertainment, has selected Accenture (NYSE: ACN) to provide software development and maintenance services under a seven-year agreement, effective immediately.

    As part of the agreement, Accenture will help Boss Media develop customized gaming products and maintain the company's current games system platform. In addition, Accenture will help Boss Media develop its next generation gaming platform that supports Internet, mobile and interactive video terminals for gaming operators. Accenture will provide application development, management and maintenance services to Boss Media through its global delivery center network.

    The agreement is expected to help Boss Media strengthen its product development capabilities, increase delivery flexibility and reduce operating costs.

    Boss Media acquires interest in Jadestone Group, a leading innovator in mobile games

    Boss Media is acquiring an interest in Jadestone Group AB, a Swedish company that is a world-leading developer of games and technology for mobile phones. In addition, Jadestone develops online and multiplayer games for various digital channels, often in combination with one another. Among other innovations, the company has developed a unique 3D-platform in Java, which provides the possibility to play skill games in a web-based environment.

    Boss Media is initially acquiring 20 percent of the company's shares and holds an option to purchase an additional 5 percent. The transaction is strategically important for both companies, which immediately gain access to each other's customers and products. An agency agreement was signed between the two companies to increase each company's interest in promoting further sales of the other's products.

    Boss Media signs contract with new IVT-customer

    Boss Media AB has signed a pilot agreement with the Czech gaming operator SYNOT LOTTO a.s for a limited number of gaming machines positioned in various locations in the Czech Republic. The machines are connected to a central system via a client/server solution. The system will offer players a wide range of games, including roulette, video poker and slot machine games.

    The Czech government recently issued three VLT licenses (Video Lottery Terminal), one of which was awarded to SYNOT LOTTO. The Ministry of Finance and local authorities have been given an opportunity to seek information on real-time gaming, and supervision can take place on various levels, from a national or regional level down to the individual gaming machine.

    The pilot agreement is for a period of six months. During this time, technical and financial requirements will be established for developing the installation into a financially viable operation for all parties. The first machines will be installed during the autumn.

    Net sales increased by 57 percent to SEK 157.2 (99.9) million. Net sales for the third quarter amounted to SEK 53.5 (33.7) million, an increase by 59 percent compared with the same period last year.
    Profit after financial items was SEK 61.2 (22.3) million. Non-recurrent items during the first quarter affected the profit for the period by SEK 10.5 million. Profit after financial items for the third quarter was SEK 22.7 (8.2) million.

    Net profit was SEK 43.8 (15.8) million. Net profit for the third quarter was SEK 16.3 (5.8) million.
    Earnings per share were SEK 0.77 (0.28).

    Royalty revenues rose by about 44 percent compared with the same period last year. The increase for the third quarter amounted to about 15 percent.
    During the third quarter Norsk Tipping commercially deployed its first new interactive gaming machines from EssNet Interactive in Oslo.

    Boss Media AB and William Hill have signed an agreement to set up a pilot installation for a mobile gaming system. The added module will allow William Hill's customers to enjoy Black Jack, Video Poker and Slots via mobile phones. The added channel installation is set to go live in the next few weeks.

    The games are developed in Java and will communicate with the gaming server. The added mobile channel will enable a player to play their favourite games on various Nokia and Sony/Ericsson phone models. William Hill is already experienced in mobile gaming, as they operate a successful WAP-betting and WAP-games proposition. With this expansion William Hill will now be able to offer its customers the same real-time casino style games that are available via PC over the Internet.     Norsk Tipping decides to delay rollout of IVT terminals

    Essnet Interactive AB, jointly owned by Boss Media, has received a letter from Norsk Tipping in which it requests a pause in the rollout of new Interactive Video Lottery (IVT) terminals. The software project is proceeding according to plan.

    After a ruling in the Norwegian courts, the establishment of a Norwegian gaming machine monopoly has
    been challenged. During the period this is being investigated, Norsk Tipping is electing to take a pause in the rollout of the IVT terminals. The time required for the investigation is currently uncertain.

    PAF has identified the benefits with a next generation IVT system that has all the tools required for revolutionizing the gaming operation in the Baltic Sea.

    The Pilot agreement is for a period of six months. During this time, technical and financial requirements will be established for developing the installation of the system on board cruise liners. The first gaming machines will be in commercial operation first quarter 2005.
