Boss Media to deliver Casino and Poker system for Littlewoods Bet Direct

Boss Media AB have signed an agreement with Sportech PLC - the parent company of Littlewoods Gaming - to provide a casino and poker system for Littlewoods Bet Direct Internet gaming site.

Sportech PLC is the UK's leading home gaming company, providing a variety of gaming and betting opportunities to customers through the wholly owned gaming and betting business - Littlewoods Gaming. Sportech PLC has a full listing on the London Stock Exchange and recorded a turnover of £207.9m for the year ended December 31, 2003.

Boss is to supply a Casino system with GBP as the base currency. The Casino will be available in both a download and in a web-based version. Net sales increased by 61 percent to SEK 213.0 (132.4) million.
Profit after financial items was SEK 77.6 (50.2) million. Non-recurrent items affected the profit by SEK 10.5 (25.0) million.

Boss Media signs IVT contract with Synot Lotto to expand operations in Czech Republic

After successfully conducting a pilot project with gaming machines distributed throughout the Czech Republic, Synot has decided to expand the operations in the next step towards a full-scale implementation of several thousand machines.

The expansion of the system will include introduction of a new state-of-the-art gaming machine combined with new features customized for the Czech market, such as new games with linked progressive jackpots presented on large plasma screens.

The shareholders in Boss Media AB (publ), 556400-0353, are hereby called to the annual general meeting of the shareholders to be held on Monday the 9th of May 2005 at 16:00 in Filmstaden, address Oxtorget 10 in Växjö. Registration will begin at 15:15.

Right to participate in the meeting
Shareholders wishing to participate in the shareholders' meeting are to:

- be registered as owner in the printout of the share register that VPC AB generates as per Friday, the 29th of April 2005 (see under heading nominee registered shares below),

- have notified the company of their intention to participate in the meeting at the address Boss Media AB, Box 3243,

Nominee registered shares
Shareholders, whose shares are registered in the name of a nominee, must, in addition, in order to have the right to participate in the shareholders' meeting, temporarily re-register the shares in their own name in the share register held by VPC AB for the company. Shareholders wishing such a re-registration must notify the nominee as to this in due time prior to Friday, April 29, 2005, by when such registration must be effected in order to be considered in the share-holder register for the shareholders' meeting which VPC AB generates as per the named day.

Proxies etc.
Shareholders' rights at the shareholders' meeting may be exercised by proxy. The power of attorney is to be in writing and may not be more than twelve months old. It is to be dated and signed. The power of attorney in its original is to be submitted in due time prior to the share-holders' meeting to the company at the above address. Further, the proxy for a legal person shall also provide a verified copy of the certificate of registration or comparable documents of authorization.

Shareholders or proxies for shareholders may take to the shareholders' meeting at the most two assistants. An assistant to a shareholder may only be taken to the shareholders' meeting if the shareholder has notified the company of the number of assistants in the manner stated above for the registration as to the shareholder's participation.

Proposal of the board of directors

Paragraph 9 B); Dividends
The board of directors proposes that no dividends with respect to the financial year 2004 be issued.

Proposal of the nomination committee

The company's nomination committee, consisting of the chairman of the board of directors, Björn Nordstrand, Sten Thunberg, appointed upon the suggestion of Sveriges Aktiesparares Riksförbund as well as Jan Westholm, appointed by the company's largest owner Medströms AB, has submitted the following proposal:

Björn Nordstrand is proposed to be appointed as the chairman for the meeting.

Paragraph 10; Number of board members
The number of board members for the period up to the next annual general meeting of the shareholders is proposed to be five (5) ordinary board members and no deputies.

Paragraph 11; Fees for the board of directors and auditors
The fees for the board of directors are proposed to be paid in a total of SEK 700 000 (for the pre-ceding year it was SEK 700 000) to be distributed with SEK 500 000 between the board members who are not employees in the company and SEK 200 000 to the chairman. The fees to the auditors are proposed as in the prior year to be paid in accordance with current fee principles for auditors.

Paragraph 12; Election of the board of directors
The re-election of Björn Nordstrand, Per Thunander, Jan Westholm and Thore Ohlsson is proposed as well as the new election of Meg Tivéus. Information concerning the proposed new board member Meg Tivéus is accessible at the company's internet home page. The present board member Peter Levin has declined re-election. It is proposed that Björn Nordstrand be appointed as the chairman of the board of directors.

Paragraph 13; Election of the election committee (Sw Valberedning)
It has been proposed that the chairman of the board of directors (convener) will contact the three largest shareholders in the company as per September 30, 2005, wherewith these share-holders each will appoint one (1) representative, that together with the chairman of the board of directors, will constitute the election committee for the period up to the next annual general meeting of the shareholders has been held or upon need before a new election committee has been elected. The election committee is to internally appoint a chairman (the chairman of the board of directors or other board members may not be appointed as the election committee's chairman). In the event one of the three largest shareholders chooses to refrain from their right to appoint a representative in the election committee, the right transfers to the shareholder who after the shareholder concerned has the largest share ownership. In the event a member in the election committee leaves prematurely, if so is assessed to be necessary, a replacement is to be appointed by the same shareholder who appointed the departing member or if this shareholder no longer belongs to the three largest shareholders, by the shareholder, which from a size perspective stands next in line. The composition of the election committee is to be published on the company's internet home page at the latest six months prior to the forthcoming annual general meeting of the shareholders.

The election committee's duties are that prior to the forthcoming meeting of the shareholders, to submit a proposal with respect to the number of board members which are to be elected by the shareholders' meeting, the fees for the board of directors, the composition of the board of directors, the chairman of the board of directors, the chairman for the meeting of the share-holders as well as, if applicable, the election of auditors and the fees for the auditors.

Shareholders representing approximately 13 % of the shares and votes in the company have given notice that they intend to vote in favour of the nomination committee's proposal in accordance with the above.

Aktionäre oder Proxies für Aktionäre können zur Sitzung der Aktionäre an den die meisten zwei Assistenten nehmen. Antrag der Direktion teilen 9 B) in Paragraphen ein; Dividenden die Direktion schlägt vor, daß keine Dividenden in Bezug auf das Geschäftsjahr 2004 herausgegeben werden. Der Antrag des Nennungausschusses der Nennungausschuß der Firma, bestehend aus Vorstandsvorsitzend der Direktoren, Björn Nordstrand, Sten Thunberg, ernannt nach dem Vorschlag von Sveriges Aktiesparares Riksförbund sowie Jan. Westholm, ernannt vom größten Inhaber Medströms AB der Firma, hat das folgende Angebot eingereicht:

Punkt 2; Wahl des Vorsitzenden für die Sitzung Björn Nordstrand wird vorgeschlagen, als das Vorsitzende für die Sitzung ernannt zu werden.

Punkt 10; Zahl der Brettmitglieder die Zahl Brettmitgliedern während der Periode bis zur folgenden jährlichen Generalversammlung der Aktionäre wird vorgeschlagen, um fünf (5) gewöhnliche Brettmitglieder und keine Abgeordneten zu sein.

Punkt 11; Gebühren für die Direktion und Revisoren die Gebühren für die Direktion werden vorgeschlagen, in einer Gesamtmenge SEK 700 mit SEK 500 000 zu verteilende 000 gezahlt zu werden (für das vorhergehende Jahr war es SEK 700 000), zwischen den Brettmitgliedern, die nicht Angestellte in der Firma und im SEK 200 000 zum Vorsitzenden sind. Punkt 12; Wahl der Direktion die Wiederwahl von Björn Nordstrand, pro Thunander, Jan. Westholm und Thore Ohlsson wird vorgeschlagen, sowie die neue Wahl von Meg. Ohm Tivéus. Die Informationen hinsichtlich sind des vorgeschlagenen neuen Brettmitgliedes Meg. Ohm Tivéus sind am Internet-Home Page der Firma zugänglich. Das anwesende Brettmitglied Peter Levin hat Wiederwahl gesunken. Es wird vorgeschlagen, daß Björn Nordstrand als Vorstandsvorsitzend der Direktoren ernannt wird.

Punkt 13; Wahl des Wahlausschusses (Schalter Valberedning) ist es vorgeschlagen worden, daß Vorstandsvorsitzend der Direktoren (convener) mit den drei größten Aktionären in der Firma wie pro September 30, 2005 in Verbindung tritt, wherewith diese Aktionäre, die jedes einen (1) Repräsentanten ernennt, der zusammen mit Vorstandsvorsitzend der Direktoren, den Wahlausschuß während der Periode bis zur folgenden jährlichen Generalversammlung der Aktionäre ist gehalten worden oder nach Notwendigkeit festsetzt, bevor ein neuer Wahlausschuß gewählt worden ist.

Der Wahlausschuß soll einen Vorsitzenden innerlich ernennen (Vorstandsvorsitzend der Direktoren oder anderer Brettmitglieder kann möglicherweise nicht als der Vorsitzende des Wahlausschusses ernannt werden). Im Falle beschließt einer der drei größten Aktionäre, ihr Recht zu nehmen, einen Repräsentanten im Wahlausschuß, die Rechtübertragungen zu ernennen auf den Aktionär, dem nach dem betroffenen Aktionär den größten Anteilbesitz hat.

The shareholders in Boss Media AB (publ) held the Annual General Meeting on May 9, 2005 in Växjö, Sweden.

Dividend
In accordance with the Board's proposal, the Meeting resolved not to pay a dividend for fiscal year 2004.

Discharge from liability
The Meeting discharged the members of the Board and the President from liability for fiscal year 2004.

Fees
The fees paid to the Board of Directors were set at SEK 700,000 (preceding year: SEK 700,000), with SEK 500,000 to be distributed among the Board members who are not employed by the company and SEK 200,000 to the Chairman of the Board. As in prior years, it was resolved that the fees to the auditors would be paid in accordance with generally accepted principles for fees to auditors.

Board of Directors
The Meeting decided to re-elect Björn Nordstrand, Thore Ohlsson, Per Thunander and Jan Westholm and to elect Meg Tivéus as a new member. Björn Nordstrand was appointed Board Chairman.

Nomination Committee
The Meeting resolved to establish a Nomination Committee. In accordance with the decision, the Board Chairman, based on ownership at September 30, 2005, will contact the three largest shareholders in the company, each of which has the right to appoint one (1) representative, who together with the Board Chairman shall comprise the Nomination Committee. The composition of the Nomination Committee will be announced on the company's website not later than six months prior to the next Annual General Meeting.

He also provided a report on the prevailing market situation and the work with creating continued growth for the Boss Media Group. Boss Media has signed an agreement with Gaming VC Holdings S.A. in which Boss Media will provide a Poker system for Casino-Club, Gaming VC's online casino, casino-club.com.

The agreement extends the very successful relationship Boss Media has had with Gaming VC, in which Boss Media supplies Gaming VC with gaming software, as well as operation and maintenance of the client and server software and payment processing services for Casino-Club.

The latest agreement will enable Gaming VC to launch Poker gaming in July 2005. The Casino-Club Poker will be connected to the Boss Media partner based poker network, which is one of the biggest in Europe.

Boss Media and Svenska Spel have worked together for several years on various projects in the area of digital gaming. Boss Media and EssNet to develop own offerings in VLT market

The partnership regarding the development and sale of VLT systems to lottery operators via the jointly owned company EssNet Interactive AB is being terminated. The convergence currently taking place in different parts of the gaming market makes it increasingly difficult for the parties not to have full control themselves over such an important part of the product offering.

EssNet Interactive was established in the summer of 2003 as a joint venture between EssNet, Boss Media and Australia's Tattersall's. The results have been extremely good, in part in the form of significant orders from the Norwegian state-owned gaming operator Norsk Tipping, as well as two additional projects, one in the Czech Republic (Synot Lotto) and one in Åland, Finland (PAF).

The most important components in Boss Media's withdrawal from EssNet Interactive consist of the following:

EssNet is purchasing Boss Media's 35-percent share in EssNet Interactive AB for an initial sum of SEK 25 million plus an additional purchase price linked to the financial outcome of the Norsk Tipping order.
Boss Media is purchasing the version of the VLT system that is being delivered to Synot Lotto and other customers for a cash payment of SEK 40 million.
Boss Media will pursue the customer relationship with Synot Lotto as its own business.
Boss Media and EssNet are entering a strategic partnership agreement regarding delivery of games and hardware to each company's customers.
More information regarding the financial effects for Boss Media will be provided in the interim report for the second quarter of 2005, which will be published on August 12.

Boss Media has signed an agreement with Deutsche Entertainment Group

Boss Media has signed an agreement with Deutsche Entertainment Group, an established online gaming operator focusing on the European market, under the terms of which Boss Media will deliver a casino system during autumn 2005.


Deutsche Entertainment Group currently operates two established Internet casinos: www.euro888.com and www.nordcasino.com. As a result of the agreement with Boss Media, another Internet casino will be added to the company's already successful gaming operation. The new casino will be operated using the name www.kaisercasino.com. The system is scheduled to be delivered and taken into operation during autumn 2005.

"With a strong and growing position within the online casino market, we believe that Deutsche Entertainment Group can benefit greatly by adding our Casino product," says Peter Bertilsson, CEO of Boss Media.

Boss Media's latest casino client, version 4.0, contains new functions aimed at providing increased accessibility and simplicity. User-friendliness and ease of navigation are key concepts that recur in most of the conceptual improvements that have been made. Boss Media's president resigns

For family reasons, Peter Bertilsson has announced his resignation as president of Boss Media AB, a position he has held since October 2001.

"Peter has done an excellent job and it is regrettable that he has now chosen to leave," says chairman of the Boss Media board, Björn Nordstrand.

"With my family still in Gothenburg and the company's head office located in Växjö, combined with a great deal of travel all over the world, my family situation has become untenable," explains Peter Bertilsson.

Peter Bertilsson will remain company president until such time as a successor has been appointed, which is expected to be during the autumn.

Der Wett- und Glücksspiele-Boom im Internet nimmt kein Ende. Viele Branchentitel sind schon "heiß" gelaufen. Aber es gibt Ausnahmen.

Was haben das Internet-Casino William Hill, der Online-Buchmacher Sportingbet und der schwedische Spieleanbieter Svenska Spel gemeinsam? Alle gehören zum Kundenstamm von Boss Media. Das schwedische Softwarehaus entwickelt jegliche Art von Glücksspielprogrammen, von der einfachen Rubbellos- und Bingo-Software für Handys bis hin zu komplexen OnlineCasinos mit Black Jack, Roulette, Einarmigen Banditen und Pokertischen.

Aber das Angebot greift noch weiter, umfasst neben der reinen Gaming-Technologie ein komplettes Backoffice, das neben der Überwachung und Archivierung einzelner Spielvorgänge umfangreiche Änderungen an den Spieleinstellungen zulässt.


Explosives Wachstum

Die rasante Verbreitung des Internets hat zahlreiche Boombranchen hervorgebracht, darunter auch das Glücksspiel im Cyberspace. Mittlerweile buhlen weit mehr als tausend Seiten im Internet um die Zocker-Dollars der potenziellen Kundschaft. Und ein Ende des Wachstums ist noch lange nicht in Sicht. Setzten die Anbieter Marktforschern zufolge 2004 rund neun Milliarden Dollar um, so sollen es 2005 schon bis zu zwölf Milliarden sein. Auf mittelfristige Sicht kalkulieren die Profis mit durchschnittlichen Jahreszuwachsraten von 15 bis 20 Prozent. Die Prognosen erscheinen dabei keineswegs übertrieben, denn selbst in Ländern wie den USA, Großbritannien oder auch Deutschland, wo schon heute sehr hohe Umsätze erzielt werden, ist das Online-Gaming gerade einmal den Kinderschuhen entwachsen.


Optimal positioniert

Bei Boss Media schlägt sich das Branchenwachstum verstärkt positiv in den Auftragsbüchern nieder. Mitte Mai meldeten die Schweden einen Auftrag von Gaming VC Holdings S.A., einem großen Betreiber von Online-Casinos: Boss Media ergänzt die bestehenden Casinos um Poker-Anwendungen. Ein Auftrag mit Prestigecharakter, denn an den Casinos von Gaming VCs wurden im letzten Jahr Einsätze von zwei Milliarden Euro platziert. Ein weiterer Clou gelang den Schweden Mitte Juni, als mit der Princess Group ein zusätzlicher Großkunde gewonnen werden konnte.

Die Gruppe (85 Firmen, 6.000 Mitarbeiter) will ihre Onlineaktivitäten deutlich ausbauen und hat damit Boss Media beauftragt. Der Clou: Boss Media ist für zehn Jahre der Exklusiv-Zulieferer für die Gruppe. Princess Group wird das Online-Engagement zudem in jedem ihrer Casinos bewerben.


Schnäppchen!

2005 und 2006 sollen 26,4, respektive 35,7 Millionen Euro Umsatz durch die Bücher gehen, ein Plus von 34 Prozent. Der Gewinn soll in diesem Zeitraum überproportional um mehr als das Doppelte auf 0,23 Euro pro Aktie steigen. Auf Basis dieser Schätzung weist die Aktie von Boss Media ein KGV von gerade einmal 11 auf - und ist damit ein echtes Schnäppchen.

Boss Media supplies gaming system to Bonnier Entertainment and Folkspel

The Bonnier Group's Bonnier Entertainment business area has selected Boss Media as supplier for its new gaming activity. Bonnier is to launch www.bingolotto.se through a cooperative agreement with the Folkspel gaming company, which is owned by Swedish sports clubs and associations and whose activities include TV4's BingoLotto gaming program,. With this investment, the Bonnier Group is taking its first step into the market for gaming that involves money.

"We are active in the entertainment industry and an increasing portion of households' entertainment budget is being spent on various forms of gaming. This makes it a natural step for us to become involved in this industry. An added benefit of our cooperation with Folkspel is that it gives us the possibility to support Swedish sports clubs and associations," says Helena Forsell, Project Manager for BingoLotto.se.

Under the terms of the contract, Boss Media will supply a well-tested system for bingo gaming on the Internet, with Bonnier and Folkspel also gaining the possibility to expand into other gaming products and distribution channels over time. As a result of the contract, Bonnier will outsource its customer service for gaming to Boss Media.

"Proximity and stability were our criteria when we selected Boss Media. We now have access to a tested gaming system and proximity to product development. If everything proceeds according to plan, we will have, in cooperation with Folkspel, a considerable market share for digitally distributed gaming within a couple of years. The key is to take the right game to market using the right channel. With regard to marketing of gaming products, we have sufficient channels for this within the Group," says Helena Forsell.

"Boss Media's extensive experience of digital gaming solutions can be considered a guarantee of quality," says Leif Flatow, President of Folkspel. "We are full of confidence regarding the launch of BingoLotto on the Net - and, naturally, a well-functioning system is an important requirement for success."

Bingo products are a focus area for Boss Media, which previously was best known for its casino and poker products. In the digital gaming world, bingo is foreseen as the gaming product that will attract the most new players as a result of its softer gaming form, with greater focus on entertainment than big prizes.

Johan Berg is new President of Boss Media AB

The Board of Directors of Boss Media has appointed Johan Berg, 46, President of Boss Media.

Johan Berg has some 20 years of experience of the software industry. For the past 13 years, he has worked at Intentia, where his positions included President of Intentia Benelux, manager for Intentia's establishment of an international distributor network for South America, Eastern and Central Europe and head of Intentia's product development company. For the last 1,5 years within Intentia, Johan Berg acted as Deputy CEO, with global responsibility for Intentia's partner strategy and service organization.
